These Terms of Service ("Terms") govern access to and use of Daedum websites, applications, APIs, software, cloud services, CAD and engineering workflow tools, documentation features, community features, support services, and related offerings (collectively, the "Services"). These Terms are between Daedum, Inc. ("Daedum," "we," "us," or "our") and the person or organization accessing or using the Services ("Customer," "you," or "your").
By accessing or using the Services, creating an account, clicking to accept these Terms, or signing an order form or similar agreement that references these Terms, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

Accounts
You must be able to form a binding contract to use the Services. The Services are intended for business, professional, educational, or organizational use and are not directed to children under 13.
You are responsible for the accuracy of information provided to Daedum and for maintaining the confidentiality of account credentials, authentication factors, and access tokens. You are responsible for all activity under your account unless caused by Daedum's breach of these Terms.
If your account is provided by an organization, that organization may manage your account, configure settings, assign roles, access usage information, control Customer Content, suspend or terminate access, and otherwise administer the workspace.
You must promptly notify Daedum at contact@daedum.com if you believe your account has been compromised or used without authorization.
Subscriptions and Payment
Some Services may be free, trial, beta, usage-based, or paid. Paid Services may be described in an order form, checkout flow, pricing page, invoice, quote, or other written agreement.
All fees are non-refundable except as expressly required by law or stated in a separate written agreement.
- Fees are due according to the applicable order, checkout flow, invoice, or payment terms.
- Unless stated otherwise, subscriptions renew for the applicable renewal term until cancelled according to the cancellation process provided by Daedum.
- You are responsible for taxes, duties, and similar governmental assessments other than taxes based on Daedum's income.
- Daedum may suspend or downgrade access for late payment, failed payment, chargebacks, suspected fraud, or misuse.
- Free trials, pilots, previews, promotional credits, or beta access may be limited, modified, or discontinued at any time unless otherwise agreed in writing.
Access to the Services
Subject to these Terms and any applicable order or agreement, Daedum grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable term for your internal business, engineering, design, documentation, collaboration, or educational purposes.
Daedum may update, improve, modify, or discontinue features from time to time. Daedum will make commercially reasonable efforts to avoid material disruption to paid Services, but we do not guarantee that every feature will remain available indefinitely.
Customer Content
"Customer Content" means files, models, designs, assemblies, parts, drawings, documentation, comments, annotations, manuals, project metadata, forum posts, images, materials, and other content submitted to, uploaded to, created in, stored in, processed through, or shared through the Services by you or your authorized users.
As between you and Daedum, you retain ownership of Customer Content. You grant Daedum a limited license to host, store, reproduce, process, transmit, display, modify for technical formatting, render, convert, analyze, and otherwise use Customer Content as reasonably necessary to provide, secure, maintain, support, and improve the Services, comply with law, and enforce these Terms.
You represent and warrant that you have all rights, permissions, and authority necessary to submit Customer Content to the Services and to grant the license described in these Terms.
Daedum does not claim ownership of your private CAD files, engineering files, or Customer Content. Daedum does not sell Customer Content and does not use private Customer Content for third-party advertising.
CAD, Engineering, and Regulated Data
The Services may allow you to upload, preview, convert, link, annotate, document, share, or otherwise process CAD files, engineering files, manufacturing instructions, technical drawings, product data, and other sensitive materials.
- You are responsible for determining whether Customer Content is confidential, proprietary, regulated, export-controlled, subject to government restrictions, subject to third-party rights, or otherwise sensitive.
- You are responsible for configuring workspace permissions, sharing settings, integrations, and user access consistently with your legal and contractual obligations.
- You may not upload or use Customer Content in a way that violates export control, sanctions, intellectual property, privacy, confidentiality, employment, procurement, defense, or other applicable laws or agreements.
- Unless Daedum expressly agrees in writing, the Services are not designed for classified information, ITAR-controlled technical data, protected health information, or other information requiring specialized compliance regimes.
Collaboration, Sharing, and Public Areas
The Services may include sharing links, workspaces, projects, comments, forums, community areas, documentation pages, public previews, or other collaboration features. You control what you and your authorized users choose to share, subject to workspace settings and administrator controls.
Customer Content or information shared with other users may be accessed, copied, exported, or further shared by recipients depending on the feature and permissions selected. You are responsible for reviewing settings before sharing sensitive information.
Public posts, community submissions, forum content, feedback, and similar materials may be visible to others and may be associated with your profile, account, or organization. Do not post confidential or sensitive information in public areas.
Acceptable Use
You and your authorized users must use the Services lawfully and responsibly. You may not:
- Access or use the Services in violation of applicable law, regulation, contract, or third-party rights.
- Upload malicious code, malware, ransomware, harmful files, or content designed to disrupt systems or compromise security.
- Probe, scan, test, bypass, disable, or interfere with security, authentication, access controls, rate limits, or service integrity.
- Scrape, harvest, crawl, or extract data from the Services except as permitted by documented APIs or written agreement.
- Reverse engineer, decompile, disassemble, or attempt to derive source code, non-public APIs, models, systems, or underlying technology except where prohibited restrictions are unenforceable by law.
- Use the Services to infringe intellectual property rights, violate privacy rights, disclose trade secrets unlawfully, or misappropriate confidential information.
- Use the Services to develop or train a competing product or service, benchmark the Services publicly without permission, or remove proprietary notices.
- Send spam, abusive communications, harassment, threats, deceptive content, or unlawful material through community or collaboration features.
- Exceed purchased usage limits, share credentials improperly, resell access, or permit unauthorized third-party use.
Third-Party Services and Integrations
The Services may interoperate with third-party products, plugins, marketplaces, identity providers, cloud storage services, payment providers, manufacturing systems, analytics tools, or other integrations. Third-party services are governed by their own terms and privacy notices.
If you enable an integration, you authorize Daedum to exchange information with that integration as needed to provide the connected functionality. Daedum is not responsible for third-party services, their availability, or their handling of information outside Daedum's control.
AI, Automation, and Beta Features
Daedum may offer AI-assisted, automated, experimental, preview, beta, or early-access features. These features may generate suggestions, summaries, documentation, classifications, previews, transformations, or other outputs based on inputs and Customer Content.
- You are responsible for reviewing outputs before relying on them, especially for engineering, manufacturing, compliance, safety, procurement, or legal purposes.
- Beta and preview features may be incomplete, unavailable, inaccurate, or changed without notice.
- Daedum should not use private Customer Content to train generalized AI models unless that use is clearly disclosed and permitted by customer settings, written agreement, or applicable consent.
- Automated outputs do not replace professional engineering judgment, safety review, legal review, manufacturing validation, or other expert review.
Security and Service Administration
Daedum uses reasonable technical, administrative, and organizational safeguards designed to protect the Services and Customer Content. You are responsible for using strong credentials, managing authorized users, configuring permissions, monitoring your workspace, and promptly reporting suspected unauthorized access.
Daedum may monitor use of the Services to operate, secure, improve, and support the Services; investigate abuse; enforce these Terms; comply with law; and protect Daedum, customers, users, and third parties.
Daedum may suspend or restrict access to the Services if we reasonably believe that continued access may violate law, create security risk, harm the Services or others, or violate these Terms.
Support, Availability, and Changes
Daedum may provide support through documentation, email, in-product tools, community resources, or other channels. Support commitments, service levels, uptime commitments, or credits apply only if expressly stated in a separate written agreement.
The Services may be unavailable from time to time due to maintenance, updates, outages, third-party failures, security events, or circumstances beyond Daedum's reasonable control. Daedum is not responsible for delays or failures caused by such events.
Daedum Intellectual Property
Daedum and its licensors own all rights, title, and interest in and to the Services, software, platform, APIs, documentation, design, workflows, interfaces, templates, models, technology, and related intellectual property, excluding Customer Content.
Except for the limited right to use the Services under these Terms, no rights are granted to you by implication, exhaustion, estoppel, or otherwise. You may not remove, obscure, or alter proprietary notices in the Services.
Feedback
If you provide ideas, suggestions, requests, comments, or other feedback about Daedum, you grant Daedum a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback without restriction or compensation, provided Daedum does not disclose your confidential Customer Content except as permitted by these Terms or another agreement.
Confidentiality
Either party may receive non-public information from the other that is marked confidential or should reasonably be understood to be confidential given the nature of the information and circumstances of disclosure. The receiving party will use reasonable care to protect confidential information and will use it only for purposes related to these Terms or the Services.
Confidentiality obligations do not apply to information that is publicly available without breach, already known without restriction, independently developed without use of the confidential information, or rightfully received from a third party without confidentiality obligations.
Privacy
Daedum's Privacy Statement explains how Daedum collects, uses, discloses, and protects personal information. By using the Services, you acknowledge that Daedum will process personal information as described in the Privacy Statement and any applicable data processing agreement.
Intellectual Property Complaints
If you believe content in the Services infringes your intellectual property rights, contact Daedum at contact@daedum.com with enough information for Daedum to review the claim. Daedum may remove or disable access to allegedly infringing content and may terminate repeat infringers where appropriate.
Termination
You may stop using the Services at any time. Paid subscriptions may be cancelled according to the applicable cancellation process, but cancellation does not relieve you of fees already incurred unless otherwise required by law or agreed in writing.
Daedum may suspend or terminate access if you violate these Terms, fail to pay amounts due, create security or legal risk, misuse the Services, or if Daedum is required to do so by law.
Upon termination, your right to access the Services ends. Daedum may delete or retain Customer Content according to the applicable agreement, product functionality, retention practices, and legal obligations. Provisions that by their nature should survive termination will survive, including payment obligations, confidentiality, intellectual property, disclaimers, limitations of liability, indemnity, and dispute provisions.
Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. Daedum disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, and accuracy of outputs.
Daedum does not warrant that the Services will meet your requirements; that Customer Content will be error-free, safely manufacturable, legally compliant, or suitable for any particular engineering or production use; or that automated, AI-assisted, preview, conversion, rendering, or documentation features will be accurate or complete.
Limitation of Liability
To the maximum extent permitted by law, Daedum and its affiliates, officers, directors, employees, agents, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost revenue; lost data; loss of goodwill; business interruption; or cost of substitute services, even if advised of the possibility of such damages.
To the maximum extent permitted by law, Daedum's aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of: (a) the amounts paid by you to Daedum for the Services giving rise to the claim during the twelve months before the event giving rise to liability; or (b) $100.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you. In those jurisdictions, liability will be limited to the fullest extent permitted by law.
Indemnity
You will defend, indemnify, and hold harmless Daedum and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: your use of the Services; Customer Content; your breach of these Terms; your violation of law or third-party rights; or use of the Services by your authorized users.
Export, Sanctions, and Government Use
You must comply with all applicable export control, sanctions, import, and trade compliance laws. You may not use, export, re-export, transfer, or provide access to the Services or Customer Content in violation of such laws or to restricted parties, countries, or territories.
If the Services are used by or on behalf of the U.S. Government, they are provided as commercial computer software and commercial computer software documentation, with only the rights granted to other customers under these Terms unless a written agreement states otherwise.
Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. The parties consent to the exclusive jurisdiction and venue of the courts located in Bell County, Texas, unless applicable law requires otherwise.
Before filing a formal claim, you and Daedum agree to try to resolve disputes informally by contacting the other party and providing a reasonable description of the issue. Nothing in this section prevents either party from seeking injunctive or equitable relief for misuse of intellectual property, confidential information, or the Services.
Changes to These Terms
Daedum may update these Terms from time to time. If Daedum makes material changes, Daedum will provide notice as required by law, such as by posting an updated version, updating the last updated date, sending notice, or providing in-product notice.
Updated Terms will apply prospectively unless otherwise required by law. Your continued use of the Services after updated Terms become effective means you accept the updated Terms.
General Terms
These Terms, together with any applicable order, data processing agreement, product-specific terms, policies, or written agreement that references these Terms, form the entire agreement between you and Daedum regarding the Services.
If any provision of these Terms is unenforceable, the remaining provisions will remain in effect. You may not assign these Terms without Daedum's prior written consent, except to a successor in connection with a merger, acquisition, corporate reorganization, or sale of substantially all assets. Daedum may assign these Terms as part of a merger, acquisition, reorganization, sale of assets, or by operation of law.
Daedum's failure to enforce a provision is not a waiver. Notices may be provided electronically, through the Services, by email, or by other legally permitted means.
